12) Disclaimers
THE SITE, PRODUCTS, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that information is current, complete, or accurate.
13) Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE/USE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $100.
(Some jurisdictions do not allow certain limitations; where prohibited, liability is limited to the maximum permitted by law.)
14) Indemnification
You agree to indemnify and hold us (and our owners, officers, employees, and partners) harmless from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or products, your content, or your breach of these Terms.
15) Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason—including if we reasonably believe you violated these Terms. Sections that by their nature should survive (IP, licenses, disclaimers, limitations, indemnity, arbitration, governing law) will survive termination.
16) Changes to the Site and to these Terms
We may change or discontinue any part of the Site at any time. We may update these Terms; the “Last updated” date shows changes. If changes materially affect your rights, we’ll take reasonable steps to notify you (e.g., posting a notice). Your continued use means you accept the updated Terms.
17) Governing law (Illinois)
These Terms and any non-arbitrable disputes are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of the arbitration agreement below.
18) Binding arbitration; class-action and jury-trial waiver (U.S. users)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for the limited exceptions below, any dispute, claim, or controversy between you and us arising out of or relating to the Site, these Terms, or our products/services will be resolved exclusively by binding, individual arbitration, not in court.
Administrator & Rules: Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or, if inapplicable, the Commercial Arbitration Rules) then in effect.
Location & Procedure: The seat/location of arbitration is Chicago, Illinois, or, at your election, remote/teleconference proceedings.
Relief & Authority: The arbitrator may award individual relief permitted by law, including injunctions necessary to provide relief to the party. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.
Class/Jury Waiver: You and we waive any right to a jury trial or to participate in a class, collective, or representative action.
Costs: AAA filing, administration, and arbitrator fees will be governed by the AAA Rules. We will pay the portion required by those Rules or by law.
Small-claims carve-out: Either party may bring an individual action in small claims court in the county of your residence or Cook County, Illinois.
Injunctive relief to protect IP or Site security: Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction in Cook County, Illinois pending arbitration to protect IP or Site security.
Time limit: Any claim must be filed within one (1) year after it arose or be permanently barred (to the extent permitted by law).
If any part of this Section is found unenforceable, the remainder will still apply to the fullest extent permitted, and unenforceable terms will be replaced with terms that most closely reflect the original intent and are enforceable.
19) Consumer rights
If you are a consumer residing in a jurisdiction with non-waivable consumer rights, you retain those rights. Nothing here limits those rights.
